Terms of Service
Master agreement between FYNBIT TECH and tenants using the Vizible platform.
These Terms of Service ("Terms") form a binding agreement between FYNBIT TECH PRIVATE LIMITED ("FYNBIT", "we", "us") and the person or entity that registers a workspace (the "Tenant", "you") on the Vizible platform at vizible.in (the "Platform"). By creating an account, accessing, or using the Platform you agree to these Terms.
1. Definitions
- Platform / Services — the Vizible multi-tenant CRM and commerce software-as-a-service, including all hosted applications, APIs, dashboards, integrations and documentation made available by FYNBIT.
- Workspace — the isolated tenant environment provisioned for you when you sign up. Each Workspace has a unique slug accessible at
<slug>.vizible.in. - Tenant Users — your administrators, employees and other individuals you invite to your Workspace.
- End-Customers — your customers, leads or end-users whose personal data you collect or process through the Platform.
- Tenant Content — all data, files, communications, configurations and outputs uploaded, created or generated by you or your Tenant Users in your Workspace.
2. Account registration & verification
You may register an account at /get-started-with-vizible by providing a valid email address, a strong password and a Workspace name. You must verify your email by entering a one-time code we send you (valid for ten minutes) before your Workspace is fully activated. You are responsible for keeping your credentials secure and for all activity occurring under your account.
You confirm that (a) you are at least eighteen (18) years old and legally able to enter into this contract, (b) the information you provide is accurate, and (c) where you sign up on behalf of an organisation you have authority to bind that organisation. We may suspend or terminate accounts that fail verification or that we reasonably believe are fraudulent.
3. Plans, fees & taxes
3.1 Plan tiers
The Platform is offered on FREE, BASIC and PRO plans. Plan entitlements, usage limits and pricing are described on the Platform and may change from time to time. The plan in effect on your account at the time of a billing cycle governs that cycle.
3.2 Billing & auto-renewal
Paid plans are billed in advance. Monthly plans renew automatically each month and annual plans renew automatically each year, unless you cancel before the renewal date. You authorise us, or our payment processors, to charge your nominated payment method for all amounts due.
3.3 Taxes
Fees are exclusive of taxes. For Tenants in India, applicable GST will be added at the prevailing rate. For Tenants outside India, you are responsible for any withholding tax, sales tax, VAT or similar levy.
3.4 Refunds
Refunds and cancellations are governed by our Refund & Cancellation Policy.
4. Acceptable use
Your use of the Platform must comply with our Acceptable Use Policy. You will not, and will ensure your Tenant Users do not, use the Platform to spam, harass, infringe rights, transmit malware, violate the terms of integrated services (including Razorpay, Meta WhatsApp, Telegram and MSG91), or break any applicable law.
5. Tenant Content & data roles
5.1 Ownership
As between the parties, you retain all rights in your Tenant Content. You grant FYNBIT a worldwide, royalty-free licence to host, store, process, transmit, back up and display your Tenant Content solely to provide and improve the Services and to comply with law.
5.2 You are the controller
You are the data controller of personal data relating to your Tenant Users and your End-Customers. FYNBIT acts as a data processor on your documented instructions, as further described in our Data Processing Addendum. You are responsible for establishing your own privacy notice, terms and consents with your End-Customers.
5.3 EAMS / employee monitoring features
Certain optional features (collectively "EAMS") allow you to capture employee activity events, screenshots and USB-device events on devices you control. If you enable EAMS, you are solely responsible for obtaining valid notice and consent from the affected employees and complying with all applicable employment, surveillance and data-protection laws.
6. FYNBIT intellectual property
The Platform, including all software, designs, trade marks, logos and the Vizible brand, is owned by FYNBIT and its licensors. We grant you a non-exclusive, non-transferable, revocable right to use the Services during your subscription, subject to these Terms. You will not (a) reverse engineer, decompile or attempt to extract source code, (b) resell, sublicense or operate a competing service using our technology, (c) remove or alter any proprietary notices, or (d) use the Platform for benchmarking against competing products.
7. Confidentiality
Each party will protect the other's confidential information with at least the same care it uses to protect its own (and never less than reasonable care), use it only to perform the Agreement, and disclose it only to personnel or sub-processors bound by equivalent confidentiality obligations.
8. Service levels & support
We aim to keep the Platform available and performant but do not guarantee uninterrupted access. Scheduled maintenance, emergency maintenance, force-majeure events and tenant-side misconfiguration are excluded from any availability claim. Support is offered through support@vizible.in; response times depend on plan tier.
9. Warranties & disclaimers
Except as expressly stated, the Services are provided "AS IS" and "AS AVAILABLE". To the fullest extent permitted by applicable law, FYNBIT disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy and uninterrupted operation. We do not warrant that the Platform will meet your requirements or that any defects will be corrected.
10. Limitation of liability
Nothing in this clause limits liability for fraud, wilful misconduct, gross negligence, or any liability which cannot be excluded under applicable law (including, where relevant, certain consumer rights in the EU/UK and statutory rights in India under the Consumer Protection Act, 2019).
11. Indemnification
You will indemnify, defend and hold harmless FYNBIT and its officers, employees and affiliates from any third-party claim arising from (a) your Tenant Content, (b) your use of the Platform in violation of these Terms or applicable law, (c) any communication you send through the Platform, or (d) any dispute between you and an End-Customer or Tenant User.
12. Suspension & termination
12.1 By you
You may cancel your subscription at any time from the billing area of your Workspace. Cancellation takes effect at the end of the current billing period; refund eligibility is governed by the Refund & Cancellation Policy.
12.2 By us
We may suspend or terminate your Workspace, or that of an individual Tenant User, with or without notice, if (a) you breach these Terms or our Acceptable Use Policy, (b) we reasonably believe your activity poses a security, legal or reputational risk, (c) payment fails and is not cured within fifteen (15) days, or (d) we are required to do so by a competent authority.
12.3 Effects of termination
On termination, your right to access the Platform ends immediately. We will retain your Tenant Content for thirty (30) days during which you may export it; thereafter we will delete or anonymise it in accordance with our Data Retention and Data Deletion policies, except where longer retention is required by law (e.g. tax records).
13. Modifications to the Services and these Terms
We may add, change or discontinue features at any time. We may also revise these Terms; the revised version will be posted at this URL with a new effective date. Material changes will be communicated by email or in-app notice at least fifteen (15) days before they take effect. Continued use of the Platform after the effective date constitutes acceptance.
14. Governing law & dispute resolution
These Terms are governed by the laws of India, without regard to conflict of laws principles. Subject to the arbitration clause below, the courts at Bengaluru, Karnataka, India have exclusive jurisdiction. Tenants based in the European Economic Area, the United Kingdom or the United States retain the non-waivable rights granted to them by their local consumer-protection law.
Any dispute arising out of or in connection with these Terms will be referred to and finally resolved by arbitration under the Indian Arbitration and Conciliation Act, 1996. The seat of arbitration will be Bengaluru; the language will be English; the tribunal will consist of a sole arbitrator appointed jointly by the parties or, failing agreement, by an institution of competent jurisdiction.
15. Miscellaneous
- Entire agreement. These Terms, the policies they reference, and any order form between us, constitute the entire agreement between us regarding the Services.
- Assignment. You may not assign these Terms without our prior written consent. We may assign them to an affiliate or in connection with a merger, acquisition or sale of substantially all our assets.
- No waiver. Failure to enforce any provision is not a waiver of that provision.
- Severability. If any provision is held unenforceable, the remainder will remain in full force.
- Force majeure. Neither party is liable for delays caused by events beyond its reasonable control.
- Notices. Notices to FYNBIT must be sent to legal@vizible.in; notices to you may be sent to the email address associated with your account.
